Filing Definitions

  • UCC

  • Uniform Commercial Code is a law that covers virtually all business transactions and is divided into several chapters or "articles" with article 9 governing secured transactions.

  • UCC-1 (Initial Financing Statement)

  • A form required under Uniform Commercial Code provisions to establish a public record of collateral pledged under a security agreement.

  • UCC-3 (Amendment)

  • A UCC record that amends or changes the information contained in a UCC-1. Amendments include assignments, continuations and terminations.

  • UCC-5 (Correction Statement)

  • A form that corrects an error in a previously filed statement.

  • Amendment

  • Any filing that changes the initial financing statement.

  • Assignment

  • A filing in which the fact that the secured party has given all or part of its rights to the collateral to another secured party.

  • Real Estate

  • A filing recorded in County real estate records.

  • Termination

  • An amendment filed to terminate the effectiveness of the financing statement.

  • Continuation

  • An amendment that continues the effectiveness of a financing statement for an additional five years.
