- UK Company Formations
A filing submitted to create a business entity in the UK. We will undertake the filing of all Governmental and constitutional forms that are necessary to form a company in the UK.
- International Formations
A filing submitted to create a business entity. We can form companies anywhere in the world.
- Charitable Company
A charitable company is one that formed and registered under the Companies Act 2006. This will also include a company already registered under the Companies Act 1985, or one which was already in existence at that time, and which is established exclusively for charitable purposes.
- Guarantee Company
A guarantee company is one where the members' liability is limited to the amount they have agreed to contribute to the company's assets if it is wound up. This includes all RTM (Right to Manage) companies, commonhold associations and those community interest companies which are companies limited by guarantee.
- Flat Management Company
A company established by owners of flats, who are shareholders in the company, and determine the management of the property.
- Trademark Registration
A trademark registration will provide a client with exclusive rights to use the trademark on categories of products and services for which it is registered. A trademark will consist of words, designs, letters, numbers or the shape of the goods or their packaging.
UK - In the UK a search and subsequent registration can be undertaken on your behalf at the UK Intellectual Property Office for a registration period of 10 years with a right to renew thereafter. We can also search the details of existing trademarks.
Madrid System - We can also offer the trademark owner an International procedure mechanism, the Madrid system, which currently enables protection in 68 countries. We can register the trademark in UK for the applicant and then request recognition in the other 67 countries by simply filing one application directly with the national trademark office. Refusal by one country does not negate the other countries.
- Domain Name Registration and Internet Services
A domain name will provide you with your own unique email address and an easy to find Internet presence. A memorable domain name, or a domain name that reflects your company, will mean people can more easily find your website. We can register the normal .com or co.uk or most overseas names.
- Offshore Formations
One forms a company offshore for the main reasons of speed, ease of formation, privacy, few restrictions and filing requirements.
Most of the world's countries will tax a corporate body at the entity level. Some, like the USA, will tax globally where all the income earned anywhere in the world is attributed to the domestic organization. Others, like Hong Kong, will tax that revenue earned within its borders.
Offshore countries like British Virgin Islands, Bahamas and Panama have companies that are exempt and do not have to file any annual financial statements and are exempt from any income other than tax.
Some countries have tax treaties whereby if one forms a company in one country and it does trade in another treaty country then it will be taxed at the rate of the country in which it was formed. Examples are the Seychelles and India where the tax rate in the Seychelles is 0% and this rate will apply even if the company trades in India. Similarly a company formed in Barbados will only pay 5% compared to the normal 40% rate in Canada.
